1. Acceptance of Terms

By accessing or using AcadeX ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. These terms apply to all users including students, lecturers, administrators, and institutional representatives.

2. Description of Service

AcadeX provides a cloud-based student management and learning management platform for educational institutions. Services include but are not limited to: student information management, course delivery, assessments, financial management, document management, and analytics.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use. Institutions are responsible for managing user accounts within their organization and ensuring appropriate access levels.

4. Acceptable Use

You agree not to: (a) use the Platform for any unlawful purpose; (b) attempt to gain unauthorized access to any systems; (c) interfere with other users' access; (d) upload malicious content; (e) violate intellectual property rights; (f) share login credentials with third parties.

5. Data Ownership

Institutions retain ownership of all data uploaded to the Platform. AcadeX processes this data solely to provide the service. We do not sell or share your data with third parties except as required by law or as described in our Privacy Policy.

6. Payment Terms

Subscription fees are billed monthly or annually as chosen. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Free trial periods do not require payment information.

7. Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance. We are not liable for downtime caused by factors beyond our reasonable control.

8. Limitation of Liability

To the maximum extent permitted by law, AcadeX shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform. Our total liability shall not exceed the amount paid in the 12 months preceding the claim.

9. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination, institutions may export their data within 90 days. After this period, data will be securely deleted in accordance with our data retention policy.
